1. Provider
DataFirefly Server-Side is a SaaS service provided by Datafirefly Limited, a private company limited by shares incorporated in Ireland under Companies Registration Office (CRO) number 810100, with registered office at 15A Main Street, Blackrock, Dublin, A94 T8P8, Ireland.

2. Service description
DataFirefly Server-Side receives conversion events from your online shop and forwards them, server to server, to advertising and analytics platforms. Features include:
- Delivery to Meta CAPI, Google Analytics 4, TikTok Events API, Pinterest Conversions API and Google Ads
- Client-side and server-side deduplication, so a conversion is never counted twice
- Event Inspector: a per-event delivery log with personal data redacted
- Consent handling: events are forwarded only in line with the visitor consent your shop reports
- Durable retry of failed deliveries
- Connectors for PrestaShop, WooCommerce, Shopware 6 and Shopify
3. Account and access
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. We may suspend accounts in breach of these Terms or of applicable law.
One account corresponds to one company. Each site (shop) you connect counts against your plan's site allowance.
4. Your data, your responsibility
You retain full ownership of the event data you send us. You grant us a limited licence to process it solely to provide the service, as detailed in our Privacy Policy and the Data Processing Agreement.
You are the data controller for the personal data contained in the events you send; we act as processor. You are responsible for collecting valid consent from your visitors and for the policies of the platforms you connect events to.
5. Plans, billing and the Free plan
5.1 Paid plans
Paid plans are billed through Stripe. Each plan includes a number of sites and a monthly event allowance, stated on the pricing page. One subscription covers your whole account.
5.2 Monthly subscriptions
A monthly subscription may be cancelled at any time. Cancellation takes effect at the end of the current billing period; access continues until that date. No pro-rata refund is due for the current period.
5.3 Prepaid annual subscriptions
You may subscribe annually, paid in a single instalment at subscription, at the price of ten monthly instalments for twelve months of service.
- Subscription constitutes a firm commitment for twelve (12) months from the date of payment.
- Where you terminate before the end of that term, no refund, whether total or partial, is due. The service remains accessible until the end of the twelve months paid for. You acknowledge that the two-month discount is the direct economic consideration for that commitment.
- Thirty (30) days before the renewal date we notify you by email of the forthcoming renewal and of its amount. Unless you tell us otherwise before that date: an email to support is sufficient, with no form and no justification required: the subscription renews for twelve months at the price then in force.
- During an annual term, an upgrade is available at any time. A downgrade takes effect at the end of the twelve months. Because the year is paid in full in advance, plan changes on an annual subscription are handled by us rather than through the self-service billing portal.
5.4 Free plan
We offer a Free plan giving access to the service at no charge and without registering a payment method. It is reserved for professional use and limited to one (1) account per organisation.
The Free plan includes:
- one (1) site
- 10,000 events per calendar month (UTC)
- all destinations, deduplication, consent handling and the Event Inspector
- Event Inspector history limited to the last 24 hours
- one (1) user, team members require a paid plan
- console figures displayed up to 10,000 events per month; past that threshold the analytics figures are hidden while delivery continues unchanged, and they are revealed again on upgrade with nothing lost
These limits are stated on the pricing page and may be changed for the future subject to thirty (30) days' notice by email.
The Free plan has no fixed term. It remains active for as long as you comply with these limits and these Terms. It is neither a trial period nor an undertaking of perpetual free access.
By express derogation from section 7, no availability commitment and no service level applies to the Free plan. Support is provided with no guaranteed response time.
We may suspend or close a free account, after notice by email, in the event of: (a) complete inactivity for six (6) consecutive months; (b) creation of multiple accounts intended to circumvent these limits; (c) use contrary to these Terms. You have thirty (30) days to export your data before permanent deletion.
We may modify or withdraw the Free plan subject to sixty (60) days' notice by email. No compensation is due in respect of a service provided free of charge.
6. Quota overage
6.1 Paid plans
Passing your monthly allowance never interrupts delivery. We notify you at 80% and again at 100% of the allowance, and your events keep being forwarded.
6.2 Free plan: grace period and delivery pause
When the Free plan allowance is reached, we maintain the service in full for a grace period of seventy-two (72) hours, and notify you by email of the date that period ends.
On expiry of the grace period, we continue to receive and count the events your shop sends, but suspend their transmission to third-party platforms until a paid plan is taken out or the following calendar month begins. Your shop requires no change and sees no error. This suspension is neither a service interruption within the meaning of section 7 nor a breach on our part.
Transmission resumes automatically (a) upon subscription to a paid plan, or (b) on the first day of the following calendar month.
6.3 Replay: expressly limited scope
Events received during the pause are retained and, on resumption, forwarded only to the extent that the destination platforms still accept them. Each platform applies its own age limit: by way of indication, approximately 72 hours for Google Analytics 4 and approximately 7 days for Meta.
We give no guarantee of any complete historical catch-up. Events that have become too old to be accepted are permanently not transmitted, and no compensation is due in that respect.
Events awaiting transmission are held encrypted for a maximum of seven (7) days, solely for that purpose, and are deleted automatically once that period expires or once transmission has taken place.
7. Availability
We commit to a monthly uptime of 99.5% on paid plans, as detailed in our Service Level Agreement, excluding announced planned maintenance and force majeure. Planned maintenance is announced by email at least 48 hours in advance.
We are not liable for unavailability caused by upstream providers (Meta, Google, TikTok, Pinterest, Stripe, Cloudflare, Hetzner), by your own hosting or by non-compliant use. When such outages occur, the impacted features are temporarily unavailable but no service credit is due.
As stated in section 5.4, this commitment does not apply to the Free plan.
8. Acceptable use
You undertake not to:
(a) send events that do not correspond to real activity on your site (b) attempt to circumvent rate limits, quotas or security controls (c) reverse-engineer the service (d) resell access without our written consent (e) use the service in breach of the policies of the destination advertising platforms
9. Liability
To the maximum extent permitted by law, our aggregate liability for any claim arising from the service is capped at the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages, including lost ad spend, lost revenue or profit, lost clientele, or reputational damage.
This limitation does not apply in case of: (a) gross negligence or wilful misconduct, (b) personal injury, (c) breach of GDPR obligations attributable to us.
10. Changes to these Terms
We may update these Terms. Material changes (price increase above 10%, new mandatory restrictions, change of governing law, reduction of the Free plan allowance) are communicated by email at least 30 days before they take effect. You may cancel your subscription within that period without penalty.
Each version is identified by a version number and an effective date. The version you accepted at signup is recorded with the date, the origin and the language in which it was presented to you.
11. Force majeure
Neither party is liable for failure to perform due to events beyond its reasonable control, including natural disaster, war, pandemic, general strike, major failure of public infrastructure, governmental decision, or major outage of a critical third-party provider.
12. Governing law
These Terms are governed by the laws of Ireland. Any dispute is submitted to the exclusive jurisdiction of the courts of Dublin, Ireland, after a 30-day amicable resolution attempt.
13. Severability
If any provision of these Terms is held invalid by a competent court, that provision is deemed unwritten and the remaining provisions retain their full effect.
